GREENCARD PAYMENTS, INC. – CUSTOMER TERMS OF SERVICE

These Terms of Service (“Agreement”) are entered into between you (“Customer”, “you”, or “your”) and Greencard Payments, Inc. (“Greencard”, “we”, “us”, or “our”). By signing up for, accessing, or using the services provided by Greencard, including connecting your bank account and conducting payments through our network, you agree to be bound by this Agreement.
- OVERVIEW OF SERVICES
Greencard facilitates digital payments via the Automated Clearing House (ACH) network between customers and merchants within the Greencard network. You authorize Greencard to debit your connected bank account to complete purchases initiated by you through our platform.
- BANK ACCOUNT CONNECTION & AUTHORIZATION
By registering with Greencard, you agree to securely link your U.S. bank account using our third-party account verification provider (currently MX Technologies, Inc.). You authorize Greencard to initiate electronic ACH debits from your account for payment transactions you approve at participating merchants.
- NON-SUFFICIENT FUNDS (NSF) & REATTEMPTS
If any ACH debit initiated by Greencard on your behalf is returned for non-sufficient funds (NSF), you expressly authorize Greencard to reattempt the debit transaction one or more times until the total amount owed for the authorized transaction has been successfully collected. Greencard may, at its sole discretion, delay or space out retries, or refer the matter to a third-party collection service.
- NO LIABILITY FOR MERCHANT GOODS OR SERVICES
Greencard is not a seller of goods or services. All purchases made using Greencard are transactions between you and the merchant. We do not endorse or guarantee any merchant offerings. You agree that any disputes regarding product quality, delivery, or satisfaction must be resolved directly with the merchant.
- LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GREENCARD, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS IN THE AGGREGATE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).
- DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. GREENCARD DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Greencard and its affiliates, employees, contractors, and agents from and against all claims, damages, losses, and liabilities arising out of or related to your use of the services, violation of this Agreement, or violation of any rights of a third party.
- TERMINATION
You may cancel your Greencard account at any time. Greencard may suspend or terminate your access to the services at any time, with or without cause or notice, in its sole discretion.
- ARBITRATION & GOVERNING LAW
This Agreement shall be governed by the laws of the State of California. Any disputes arising out of or relating to this Agreement shall be resolved exclusively by binding arbitration under the rules of the American Arbitration Association. You waive any right to a jury trial or class action.
- MODIFICATION
We may update these Terms at any time. Material changes will be communicated via email or in-app notification. Your continued use of the services following any update constitutes your acceptance of the modified Terms.
